General Terms and Conditions for Supplier Engagement

These General Terms and Conditions apply to all UNN’s given assignments, procurement confirmations and commercial agreements where UNN are the purchasing entitled to delivery.

The Supplier or any representative, agent or Affiliate of the Supplier or their respective personnel shall not engage or attempt to engage in corrupt or fraudulent practices, which may include any act, or act similar to:

  • offering, giving, receiving or soliciting of anything of value, or exerting undue interference to influence the action of any UNN Personnel;
  • engaging in any collusive practice with Third Party vendors; or
  • committing or abetting or attempting to commit any offence under the Prevention of Corruption Act (Chapter 131) or any offence under section 161 to 165 or 213 to 215 of the Penal Code (Chapter 22).

During the Supplier’s term of engagement with UNN, the Supplier shall:

  • comply with all applicable laws relevant to the Supplier’s performance of its obligations;
  • ensure that the hardware, software and/or systems are manufactured, to and fully comply with, all relevant international standards and recommendations;
  • comply with the requirements of the Workplace Safety and Health Order, 2009; and
  • comply with UNN published policies, standards or guidelines relating to the requirements of the Workplace Safety and Health Order, 2009, including UNN’s Health, Safety and Environment Guidelines and Standards as provided from time to time, provided always that it does not cause additional costs and expenses on the part of the Supplier.

  • Except as required or prohibited by law, the Supplier warrants that in relation to the supply of services to UNN, the Supplier:
    • shall comply with generally accepted practices of human rights in relation to recruiting and managing personnel and any codes for ethical purchasing and social responsibility provided by UNN to the Supplier at any time;
    • does not employ, engage or otherwise use any child labour in circumstances that the tasks performed by any such child labour could reasonably be foreseen to cause either physical or emotional impairment to the development of such child;
    • does not use forced labour in any form (prison, indentured, bonded or otherwise) and its employees are not required to lodge papers or deposits on starting work;
    • provides:
      • a safe and healthy workplace, presenting no immediate hazards to its employees;
      • housing, where provided, that is safe for habitation; and
      • access to clean water, food and emergency healthcare to its employees in the event of accidents or incidents at the Supplier's workplace;
    • does not discriminate against any employees on any ground (including race, religion, disability or gender);
    • does not engage in or support the use of corporal punishment, mental, physical, sexual or verbal abuse and does not use cruel or abusive disciplinary practices in the workplace;
    • pays each employee at least the minimum wage, or a fair representation of the prevailing industry wage (whichever is the higher) and provides each employee with all legally mandated benefits; and
    • complies with the laws on working hours and employment rights in the countries in which it operates.
  • The Supplier must have ethical and human rights policies in place and an appropriate complaints procedure to deal with any breaches of such policies.

The Supplier must submit to UNN any information intended for any publication, advertising or other publicity materials in which UNN’s name is mentioned or in which language or identifiers are used from which a connection with UNN could reasonably be inferred or implied, together with information which specifies the form of intended publication and the countries in which the information is intended to be published. The Supplier must not publish or use any advertising or other publicity material of this kind without prior written notice to UNN.

Management of subcontractors
UNN is not liable to the Supplier or any subcontractor in respect of any loss incurred or suffered by the Supplier or any subcontractor.

Supplier’s undertaking
  • The Supplier undertakes that the Supplier’s use of subcontractors will not adversely affect the price, quality of any deliverables, the Supplier’s compliance with any processes or plans required by the Supplier’s performance of any of the Supplier’s other obligations towards the awarded project.
  • The Supplier will be responsible for ensuring that all hardware, software, Services and/or systems to be provided by its subcontractors fully comply with UNN’s requirements.
  • In relation to the awarded project, the Supplier remains liable for the obligations performed by subcontractors and performance by the subcontractor is deemed to be performed by the Supplier.

Privacy Statement

We recognize the importance of protecting your Personal Data and are committed to processing it responsibly and in compliance with applicable data protection laws in Brunei Darussalam. This Privacy Statement describes UNN’s general privacy practices that apply to personal information we collect, use and share about individuals using the channels for interaction in the capacity as a job applicant, vendor registration or general user wishing to contact us.

“Personal Data” means any information, content or set of information from which we are able, directly or indirectly, to personally identify you, in particular by reference to an identifier, e.g. name and surname, email address, phone number, etc.

Where applicable, you consent to the use of your information as described in this Privacy Statement each time you disclose Personal Data you provide to UNN.

We may process Personal Data relating to you if one or more of the following applies:

  • you have given your consent for one or more specific purposes.
  • processing is necessary for compliance with a legal obligation to which we are subject;
  • processing is related to a task that is carried out in the public interest or in the exercise of official authority;
  • processing is necessary for the purposes of the legitimate interests pursued by us or by a third party.

We may use your Personal Data for the purposes of carrying out your application and the entire recruitment process.

In connection with a job application or inquiry, whether advertised on UNN website or otherwise, you may provide us with information about yourself, such as a resume. We may use this information throughout UNN in order to address your inquiry or consider you for employment purposes. By engaging in our recruitment process (where legally required), you expressly consent to our collection, storage, use, transfer, and disclosure of your Personal Data, including any sensitive information you elect to submit.

When you contact us (online or offline) in connection with providing comments or a request for information, we collect information necessary to respond to you such as name and contact information. We retain such information for administrative purposes and in connection with our engagement with you.

We may use your Personal Data submitted as part of the Vendor Registration process when we are being provided with business contact information (such as name, business contact details, position or title of their employees, contractors, advisors and authorized users) for purposes of managing our relationship with vendors and suppliers.

We will take appropriate measures that are consistent with applicable privacy and data security laws and regulations to protect the confidentiality and security of your Personal Data. We will ensure to prevent Personal Data from being accidentally lost, or used or accessed in an unauthorised way. We limit access to your Personal Data to those who have a genuine business need to know it. Those processing your information will do so only in an authorised manner and are subject to a duty of confidentiality.

Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your Personal Data, we cannot guarantee the security of your Personal Data transmitted through any online means, therefore any transmission remains at your own risk.
